Terms of Service

By accessing or using Zapat (available at zapat.ai), you agree to be bound by these Terms of Service. If you are using Zapat on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these terms, do not use the service. These terms constitute a legally binding agreement between you and Zapat Inc.

Zapat is an AI-powered engineering automation platform. You connect your GitHub repositories, and when you label issues with Zapat trigger labels (like zapat:implement), a coordinated team of AI agents automatically writes code, creates pull requests, and runs multi-perspective reviews covering security, tests, and code quality. The resulting PR is ready for your human review and merge.

Zapat integrates with your GitHub repositories via a GitHub App. The agents read your codebase, open branches, commit code, and post review comments — all on your behalf, within your existing GitHub workflow.

We may update, improve, or modify the service at any time. We will make reasonable efforts to communicate significant changes in advance.

You register using GitHub OAuth. By signing up, you grant Zapat access to the GitHub account information needed to create and manage your account.

You are responsible for maintaining the security of your account credentials. Notify us immediately at support@zapat.ai if you believe your account has been compromised.

You may belong to multiple organizations on Zapat. Each organization has its own subscription, issue quota, and repository permissions. You are responsible for managing your organization membership and ensuring appropriate access controls.

You must be 18 years or older to use Zapat. Accounts representing companies or organizations must be created by an authorized representative.

You agree not to use Zapat to:

• Generate code designed to be malicious, harmful, or illegal
• Circumvent security controls, exploit vulnerabilities in third-party systems, or conduct unauthorized penetration testing
• Automate spam, phishing campaigns, or other deceptive activities
• Violate the intellectual property rights of others
• Abuse, overload, or interfere with Zapat infrastructure or third-party services (including GitHub’s API)
• Resell or sublicense access to Zapat without written permission

We reserve the right to suspend accounts that violate these terms. Serious violations may result in immediate termination without refund.

Code is provided “as-is.” Zapat’s AI agents generate code based on patterns learned from training data and the context of your codebase. The output may contain bugs, security vulnerabilities, incorrect logic, or code that does not meet your requirements.

You are solely responsible for reviewing all PRs. Before merging any Zapat-generated pull request, you must review the code as carefully as you would review code from any engineer on your team. Never auto-merge AI-generated code in production environments without human review.

Security review is best-effort only. Zapat includes an AI security reviewer in every pipeline, but this is not a substitute for a professional human security audit. The AI reviewer may miss vulnerabilities, misclassify risk levels, or produce false positives. Do not rely on Zapat’s security review as your sole security validation, especially for security-sensitive code.

You accept all risk of deployment. By using Zapat, you acknowledge that you are deploying AI-generated code to your systems at your own risk. Zapat Inc. is not liable for any harm, data loss, security incidents, or business disruption arising from code generated by our platform.

No guarantee of fitness. Zapat does not guarantee that generated code will compile, pass tests, meet performance requirements, comply with your organization’s coding standards, or be suitable for production use.

You own your code. All source code in your repositories, and all code generated by Zapat agents operating on your behalf, remains your intellectual property. Zapat does not claim any ownership over your source code or the code our agents produce.

Limited license to operate the service. By connecting a repository to Zapat, you grant Zapat Inc. a limited, non-exclusive, non-transferable license to access, read, and write to that repository solely for the purpose of operating the Zapat service on your behalf. This license is revoked when you disconnect the repository or terminate your account.

Zapat platform. The Zapat platform, including its software, design, documentation, and brand, is owned by Zapat Inc. and protected by intellectual property laws. You may not copy, reverse engineer, or create derivative works from the Zapat platform without written permission.

Zapat supports BYOC — running agents on your own infrastructure using your own API keys (e.g., Anthropic, OpenAI). BYOC is available at all pricing tiers.

Your infrastructure, your responsibility. When you use BYOC, you are solely responsible for your cloud infrastructure, API key security, usage costs, and compliance with the terms of the third-party providers you use.

Zapat is not liable for third-party costs. We are not responsible for any charges incurred on your cloud accounts, API accounts, or other third-party services as a result of running Zapat agents. This includes unexpected usage spikes, API pricing changes, or runaway agents.

You should set appropriate spending limits and alerts on your third-party accounts before enabling BYOC.

We handle your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

In summary: we access your repository code only to operate the service. We do not sell your code or use it to train AI models without explicit consent. Job logs, progress events, and generated code are retained according to your plan tier (see Privacy Policy for details).

Prepaid balance model. Zapat uses a pay-per-issue pricing model. You maintain a prepaid dollar balance and each issue processed deducts from that balance based on actual compute cost (with a 3× markup applied to raw infrastructure costs).

Signup credits. New organizations receive $15 in compute credits to try Zapat risk-free. The signup bonus expires 90 days after account creation. Once the bonus is depleted, you must add funds to continue processing issues.

Referral program. Each organization may generate a referral link and share it with other developers. When a referred account completes their first issue, both the referrer and the referred account receive $5 in compute credits. Each organization may earn up to $15 in referrer credits (3 successful referrals at $5 each). Including the signup bonus ($15), being referred ($5), and referring others ($15), the maximum total free credits per account is $35. Referral credits are applied to your balance immediately and do not expire. Zapat reserves the right to modify, suspend, or discontinue the referral program at any time, with or without notice. Any credits already earned prior to such changes will remain in your account.

Per-issue budget limit. Each issue has a configurable budget limit. The default budget is $20 per issue. Most issues cost between $6–$12. Every completed PR includes a full cost breakdown for your records.

Adding funds. You can add funds via credit card through Stripe Checkout. Optionally, you can enable auto-recharge to automatically top up your balance when it falls below a threshold you set.

No refunds on balance. Prepaid balances are non-refundable except at our discretion for billing errors or exceptional circumstances. Contact support@zapat.ai for assistance.

Price changes. We reserve the right to change pricing. We will provide at least 30 days notice before any price increases take effect.

We work hard to keep Zapat available and reliable, but we provide the service on a best-effort basis. We do not currently offer a guaranteed uptime SLA.

We reserve the right to perform scheduled maintenance, which may temporarily interrupt service. We will make reasonable efforts to schedule maintenance during low-traffic periods and communicate it in advance.

We may modify, suspend, or discontinue features of the service at any time. For major changes, we will provide reasonable advance notice.

Liability cap. To the maximum extent permitted by law, Zapat Inc.’s total liability to you for any claim arising from your use of the service is limited to the amount you paid to Zapat in the 12 months preceding the claim.

No indirect damages. Zapat Inc. is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if we were advised of the possibility of such damages.

AI output liability. We are not liable for any defects, security vulnerabilities, errors, or other problems in AI-generated code, or for any harm resulting from your deployment of such code. See Section 5 (AI-Generated Code Disclaimer) for full details.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In those jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless Zapat Inc. and its officers, employees, and agents from any claims, damages, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the service
• Code you deploy that was generated by Zapat
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights

You can cancel anytime. You may terminate your account at any time through your account settings or by contacting support@zapat.ai. Cancellation takes effect at the end of your current billing period.

We can terminate for cause. We may suspend or terminate your account immediately if you violate these Terms, particularly the Acceptable Use provisions.

What happens to your data. Upon termination, we will provide a 30-day window during which you can export your data (job logs, configurations). After that window, we will delete your account data from our systems, except as required by law or for legitimate business purposes (e.g., billing records, fraud prevention).

Repository access is revoked immediately upon account termination. Any active Zapat jobs in progress at the time of termination will be cancelled.

Informal resolution first. Before filing any formal claim, you agree to contact us at support@zapat.ai and attempt to resolve the dispute informally. We will make a good faith effort to resolve any issue within 30 days.

Binding arbitration. If informal resolution fails, disputes will be resolved through binding individual arbitration under the rules of the American Arbitration Association (AAA). You waive the right to participate in class action lawsuits or class-wide arbitration.

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.

Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent imminent harm, particularly for intellectual property or confidentiality violations.

We may update these Terms from time to time. When we make material changes, we will notify you at least 30 days in advance via email or an in-app notice.

Your continued use of Zapat after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree to the updated Terms, you must stop using the service before the effective date.

The “Last updated” date at the top of this page reflects the most recent revision.
